Terms of Service

By accessing or using PanAI (the “Service”), you confirm that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you (“User” or “you”) and PanAI (“Company,” “we,” “our”). Your continued use of the Service after any updates to these Terms constitutes your acceptance of the modified Terms.

PanAI is an AI-powered productivity platform that enables users to interact with documents, data, and third-party applications through a conversational interface. Our core services include but are not limited to:

• AI-assisted document analysis, summarization, and question answering
• Integration with third-party services such as Notion, Monday.com, and other productivity tools
• File upload, storage, and intelligent processing via cloud infrastructure
• Automated workflows and task management powered by large language models
• Team collaboration features including shared workspaces and access controls

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

You must be at least 18 years of age to use PanAI. By using the Service, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• Your use of the Service does not violate any applicable law or regulation
• If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms

To access most features of PanAI, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your credentials and not share access with unauthorized parties
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently, abusively, or in violation of these Terms. You may not create multiple accounts for abusive purposes.

You agree to use PanAI only for lawful purposes and in compliance with these Terms. You must not:

• Upload, transmit, or process any content that is illegal, harmful, defamatory, obscene, or violates any third-party rights
• Attempt to probe, scan, or test vulnerabilities of the platform or circumvent any security controls
• Reverse engineer, decompile, or attempt to extract the source code of any component of the Service
• Use the Service to transmit spam, malware, or any unauthorized automated queries
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Service in a manner that could disable, overburden, or impair its infrastructure (e.g., DDoS attacks)
• Violate any applicable export control laws or sanctions regulations

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision.

All content, features, and functionality of the PanAI platform — including but not limited to software, text, graphics, logos, icons, and the selection and arrangement thereof — are the exclusive property of PanAI and are protected by applicable copyright, trademark, patent, and other intellectual property laws.

Your Content: You retain all ownership rights to content you upload to the Service (“User Content”). By submitting User Content, you grant PanAI a limited, non-exclusive, royalty-free license to use, process, and store your content solely to provide the Service to you. We will never sell your content to third parties.

AI Outputs: AI-generated responses and outputs derived from your inputs are provided for your use as permitted by these Terms. You acknowledge that similar outputs may be generated for other users.

Your privacy is important to us. Our collection, use, and disclosure of personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection and use of information as described in our Privacy Policy, including the transfer of data to servers located in the United States or other jurisdictions where we operate.

We implement industry-standard security measures including encryption at rest and in transit, access controls, and periodic security audits to protect your data.

PanAI leverages large language models (LLMs) and other AI technologies. You acknowledge and agree that:

• AI outputs may sometimes be inaccurate, incomplete, or misleading (“hallucinations”). You should independently verify any critical information generated by the AI.
• You are solely responsible for how you use AI-generated content, including any decisions you make based on it.
• Using the Service to generate content that is harmful, deceptive, or violates applicable law is strictly prohibited.
• We may use aggregate, anonymized usage data to improve our AI models, subject to our Privacy Policy.
• AI features may be subject to usage quotas or rate limits as described in your subscription plan.

PanAI may integrate with third-party services (e.g., Notion, Monday.com, Google). These integrations are provided for your convenience and are subject to the respective third-party’s terms and privacy policies. You are responsible for reviewing and complying with those third-party terms.

We are not responsible for the availability, accuracy, or conduct of any third-party service. Connecting a third-party service to your PanAI account constitutes your authorization for us to access and process data from that service on your behalf.

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service will immediately cease.

We reserve the right to suspend or terminate your account — at our sole discretion, with or without notice — for any breach of these Terms, unlawful activity, or extended periods of inactivity.

Upon termination, we will retain your data for 30 days before permanent deletion, except where we are required by law to retain it longer. You may request an export of your data prior to account deletion.

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, PanAI disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any AI-generated content or information provided through the Service.

To the maximum extent permitted by applicable law, in no event shall PanAI, its directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or in connection with your use of or inability to use the Service.

You agree to indemnify, defend, and hold harmless PanAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of or inability to use the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit, post, or transmit through the Service

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You waive any right to participate in class-action lawsuits or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a revised “Last updated” date
• Sending an email notification to your registered address
• Displaying an in-app notification upon your next login

Your continued use of the Service following the effective date of any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
